Sarah focuses her practice primarily in the areas of ERISA, employee benefits, and executive compensation. Specifically, Sarah has extensive experience analyzing the rules and regulations under the Internal Revenue Code of 1986, as amended (the “Code”) and the Employee Retirement Income Security Act of 1974, as amended (“ERISA”) as well as applying the requirements of the Code and ERISA to all forms of benefits plans including, but not limited to, qualified retirement (401(k), 403(b), profit-sharing and pension plans) and welfare benefit plans, nonqualified deferred compensation plans, and equity-based compensation plans.

Sarah represents a broad range of clients and provides guidance on matters involving employee benefit plans sponsored by for-profit, not-for-profit and closely held employers, and government and tax-exempt employers (e.g. 403(b) and 457 plans).

Sarah has significant experience with the following:

  • Plan design and compliance related to all forms of employee benefit plans (qualified retirement, welfare benefit, and fringe benefit plans);
  • Counseling retirement plan committees to ensure fiduciary compliance;
  • Assist employers involved in DOL and IRS audits and/or reviews;
  • Design and documentation of executive deferred compensation arrangements and Code Section 409A compliance;
  • Design and administration of equity-based compensation plans;
  • Guiding tax-exempt entities with respect to Intermediate Sanctions;
  • Structuring employee stock ownership plans (ESOPs) as a business succession planning tool; and
  • Analyzing employee benefit issues involved in merger and acquisition transactions.

Sarah is a frequent speaker on topics related to ERISA, Executive Compensation and the Patient Protection and Affordable Care Act.
